Membership Agreement

This Membership Agreement (“Agreement”) is entered into between NDAS Inc., a Delaware corporation doing business as Deductify (“Deductify,” “we,” “us,” or “our”) and you, the individual or entity purchasing a Deductify membership (“Member,” “you,” or “your”). By purchasing, using, or renewing a Deductify membership, you acknowledge and agree to be legally bound by the terms and conditions set forth below.

1. Definitions

- “Vehicle” – any automobile registered in your name and approved by Deductify in accordance with Section 4.1.

- “Membership Plan” – the subscription tier (Lite, Pro, or Max) you select during enrollment, including associated fees, grace‑period rules, benefit limits, and claim caps.

- “Grace Period” – the first 30 days after a Vehicle is initially approved or reinstated, during which deductible claims are not eligible for payment.

2. Purpose & Acceptance

2.1 Purpose – This Agreement governs eligibility, benefits, limitations, and the claim process for your Deductify membership.

2.2 Acceptance – Your enrollment or continued use constitutes your express agreement to these terms. If you do not agree, do not enroll.

3. Membership Benefits

3.1 Deductible Benefit Payments (Not a Loan) – Subject to this Agreement, Deductify pays collision and animal‑strike deductibles for each eligible Vehicle up to the limits of your Membership Plan. The deductible benefit is not a loan; you will never be required to repay amounts paid under this program.

3.2 Claim Limits – Maximum two (2) claims per Vehicle in any rolling 12‑month period. Comprehensive claims are covered only if explicitly included in your Plan.

3.3 No Guarantee of Approval – Submission of a claim does not guarantee payment; all requests undergo internal review (Section 7) and may be denied at Deductify’s sole discretion.

Plan: Deductify Lite | Maximum Deductible Payment: US $1,000 | Example $1,000 deductible | Amount Deductify Pays*: $1,000

Plan: Deductify Pro | Maximum Deductible Payment: US $1,500 | Example $1,500 deductible | Amount Deductify Pays*: $1,500

Plan: Deductify Max | Maximum Deductible Payment: US $2,000 | Example $2,000 deductible | Amount Deductify Pays*: $2,000

*Deductify never pays more than the actual deductible shown on your insurance claim.

4. Membership Eligibility & Registration

4.1 Eligibility Criteria – Only Vehicles registered in your name, with photos and documentation uploaded through the member portal, are eligible.

4.2 Deductify Review – We may approve, deny, or cancel any Vehicle registration or membership at our sole discretion.

5. Claims Process

5.1 Requirements – To qualify for a deductible payment, you must:

- File a valid auto‑insurance claim and obtain a claim number.
- Upload the claim number, proof of deductible payment, and all requested documents via the portal within twenty (20) days of the date of loss.
- Ensure the VIN on your insurance claim matches the VIN on file with Deductify. No payment will be made for a different VIN.

5.2 Exclusions – Deductify will deny payment if:

- Exclusions – Deductify will deny payment if:The loss occurred before your membership start date or during the 30‑day Grace Period.
- The loss date is more than 60 days before you submit the claim package.
- Documentation is incomplete, inaccurate, or not submitted on time.
- The deductible exceeds your Plan limit or the actual deductible paid.

5.3 Right to Audit – We may audit any claim, request additional documentation, or employ third‑party evaluators to verify legitimacy.

6. Membership Fees, Billing & Cancellation

6.1 Fees – Membership fees are billed in advance and may change with 30‑days’ notice.

6.2 Vehicle Replacement & Grace Period – When you add, reinstate, or replace a Vehicle, that Vehicle is subject to the same 30‑day Grace Period before claims become eligible.

6.3 Cancellation – You may cancel any time via the portal; fees are non‑refundable and the membership remains active through the current billing cycle.

6.4 Collection Costs – If your payment method fails and legal or collection efforts are required, you agree to reimburse Deductify for reasonable collection costs, including attorneys’ fees.

7. Internal Review & No Guarantee of Payment

All claims undergo Deductify’s internal review. We reserve sole discretion to approve or deny any request; no Member is guaranteed approval regardless of prior payments.

8. Membership Termination

8.1 Termination by Deductify – We may suspend or terminate your membership immediately if you:

- Submit false, misleading, or fraudulent information;
- Breach any provision of this Agreement; or
- Engage in conduct that harms Deductify’s reputation or operations. 8.2 Effect of Termination – No refunds; notice will be sent to your email or posted in your portal.

9. Refund Policy

9.1 No Refunds – Membership fees are non‑refundable. Your membership remains active until the end of the billing cycle.

10. Limitation of Liability & Service Interruptions

10.1 Indirect Damages – Deductify is not liable for incidental, indirect, or consequential damages.

10.2 Liability Cap – Our liability shall not exceed fees paid in the previous 12 months.

10.3 Service Interruptions – Deductify is not responsible for delays, outages, or failures resulting from events beyond its control, including third‑party processor issues, system maintenance, or force‑majeure events.

11. Indemnification

You agree to indemnify and hold harmless Deductify from liabilities arising out of your misuse, fraudulent submissions, or disputes with insurers.

12. No Insurance Relationship

Deductify is not an insurer. Membership benefits do not constitute insurance coverage and are provided at Deductify’s discretion.

13. Force Majeure

Deductify is excused from performance for causes beyond its control, such as natural disasters, cyberattacks, or government actions.

14. Privacy & Data Usage

By enrolling, you consent to data collection, use, and storage as described in our Privacy Policy and to receive electronic communications.

15. Dispute Resolution & Arbitration

All disputes shall be resolved by binding arbitration administered by the AAA in Delaware. Prevailing‑party attorneys’ fees shall be awarded at the arbitrator’s discretion. Any claim must be filed within one (1) month after the underlying event, or it is permanently barred.

Class‑Action Waiver – Claims may be brought only on an individual basis.

16. Electronic Communications

You consent to receive notices electronically and are responsible for maintaining accurate contact information.

17. Modifications

Deductify may amend this Agreement at any time; notice will be provided via email or portal. Continued use constitutes acceptance.

18. Governing Law

This Agreement is governed by the laws of the State of Delaware without regard to conflict‑of‑law rules.
